Yanping Wang is a member of Miller Canfield's Corporate and Transactions Group, focusing on international business relationships, cross-border mergers and acquisitions, and foreign direct investment in China and the United States.

In China, Yanping assists clients in establishing and expanding business relationships, greenfield operations, mergers and acquisitions, joint ventures and strategic alliances. Her results-oriented approach derives from her experience in customs protection, employment, foreign exchange, intellectual property and real estate law.

Yanping's intellectual property practice focuses on developing and implementing IP strategies in China, due diligence, efficient capitalization, royalty and taxation strategies and customs protection. Yanping also assists clients to resolve their intellectual property and commercial disputes through mediation and arbitration.

With respect to inbound investment to the United States, Yanping represents Chinese companies in the artificial intelligence manufacturing, automotive, automotive logistics, climate control, precision chemistry and real estate industries, focusing on greenfield projects, and mergers and acquisitions.

A prolific author, Yanping has published several books and articles regarding Chinese commercial contracts and property laws. She is also a frequent speaker on these topics and cross-border transactions.

Licensed in the United States and China, Yanping first studied law in China, where she practiced as a licensed attorney before coming to the United States to pursue a J.D. degree. For 20 years, she has practiced in the U.S. and China, helping clients from Asia, Europe and North America. 

Representative Matters

China Inbound:

Since 2004, Yanping has represented more than 100 companies, including manufacturing companies, private equity and venture capital firms, high tech companies, libraries, universities and e-book distributors in the United States, Canada, the United Kingdom, Germany and Israel in matters involving foreign direct investment projects in China. Yanping has assisted clients in establishing and expanding operations in China, and negotiating and closing acquisitions, divestitures, joint ventures and licenses, distribution and franchise agreements. She has represented several clients in front of CIETAC Beijing, Shanghai and Shenzhen in connection with arbitration proceedings.

US Inbound: 

Yanping and our cross-disciplinary teams within the firm provide one-stop service to Chinese companies interested in investing in the United States. We provide personalized one-on-one service, particularly during the early days of investing in, or establishing or expanding businesses in the United States. Services include:

  • Introducing potential partners and target companies
  • Assisting the clients with their applications for government grants and incentives
  • Assisting the clients with CFIUS and antitrust filings
  • Structuring, negotiating and closing transactions
  • Helping clients apply for and obtain the L-1 visas and green cards
  • Hiring local employees
  • Providing training sessions to HR specialists

Yanping's selected representation matters include:

  • Represented a private company with its acquisition of an Ohio based carbide company in the amount of $8 million in the coal mining industry
  • Led the U.S. and Mexico due diligence project in connection with a Chinese public company's global acquisition of a climate control business in the amount of $7.5 billion
  • Represented a private Chinese company in connection with its intended acquisition of a U.S. artificial intelligence manufacturing company in the amount of $400 million
  • Represented a state-owned automotive interior materials company in connection with its establishment of a research and development center in the State of Michigan in the amount of $30 million
  • Represented a state-owned automotive logistics company in connection with its foreign direct investment project in the amount of $20 million in the United States and negotiated joint venture contracts, warehousing contracts and counseled on significant international and domestic operational issues
  • Represented a private company with establishing beauty salon franchise stores in the State of California
  • Represented a private real estate company with its series acquisitions of real estate projects in the State of Florida
  • Represented a Shanghai-based private equity fund in connection with its acquisition of the language companies in the United States
  • Represented a private company with establishing a housing service center to serve international students
  • Represented a state-owned company with a real estate acquisition project in the amount of $10 million and establishment of an industrial park
  • Led and managed an online game developer's overseas due diligence projects in 28 countries and regions in connection with its initial public offering project
