Joseph Huntzicker practices in the areas of commercial real estate and secured lending.
From the acquisition and development of retail, office, hotel, residential, industrial and other kinds of real property to representing landlords, tenants and property managers in commercial leasing matters and representing owners in obtaining conventional and securitized financing, Joe has extensive experience in commercial real estate transactions and also advises clients on entity formation and governance matters.
In the area of secured lending, Joe represents lenders in the negotiation, documentation and closing of commercial loans secured by real property and/or personal property, in addition to handling post-closing loan administration, loan modifications, restructurings, forbearances and workouts and all matters relating to Article 9 of the Uniform Commercial Code. Whether it involves commercial real estate or secured lending, Joe is highly responsive to the firm’s clients and knows how to manage transactions to achieve timely and successful closings.
Joe represents sellers, purchasers, owners, landlords and tenants in a broad array of commercial real estate transactions including purchase and sale documentation, easement agreements, office and retail leases and subleases, letters of intent, management agreements, construction and architect agreements, escrow agreements, title and survey matters and related due diligence.
He has worked on transactions involving many types of real property including office buildings, hotels, shopping centers, industrial and warehouse buildings, condominium projects, multi-family apartment projects and medical office buildings.
Joe also represents national, regional and community banks in all aspects of commercial loan transactions secured by real estate and/or personal property, including structure origination, performing due diligence, drafting and negotiating documentation and administration prior to and after closing. His real estate lending work includes acquisition, refinance, portfolio, site development and construction loans for shopping centers, office buildings, multi-family apartments, hotels and industrial, warehouse and medical office buildings. Joe handles personal property lending work involving revolving, term, equipment, acquisition and other loans and letters of credit. Joe has extensive experience with secured transactions under Article 9 of the Uniform Commercial Code.
Joe represents lenders and borrowers in complex loan modifications, workouts, forbearances, deed-in-lieu of foreclosures and note purchase agreements and provides litigation support for enforcement of creditors' rights and bankruptcy matters.
In addition, Joe’s experience in business transactions includes advising and assisting clients on matters involving entity formation, governance, finance and general corporate matters.
Represented Second City Capital Partners II, LP, on the spin-out and "roll up" of more than 20 companies holding 16 office properties consisting of 1.85 million sq. ft. of rentable space in five states, and the initial public offering of City Office REIT, Inc.'s common stock.
Represented an owner/operator in the $40.7 million sale of a multifamily community in Marietta, GA, and in the proposed sale of a 354-unit multifamily community in Lansing, IL.
Represented an owner/landlord in office and retail leases for a 223,475 rsf historic building located in San Diego, CA.
Represented a national bank in making a construction loan for the Zaragon Place West project (401 Thompson site) in Ann Arbor, MI, and in making a refinance loan for the Zaragon Place project (619 East University site) in Ann Arbor, MI.
Represented a real estate developer in the acquisition and construction of a luxury condominium apartment community in a Chicago suburb, including negotiating a joint venture agreement, an architect’s contract and a general construction contract and obtaining a construction loan.
Represented an owner/landlord and the property manager in retail leases for a 103,266 rsf shopping center located in suburban Chicago, IL.
Represented an owner of an approximately 85-property portfolio of distressed retail properties located throughout the U.S.in the sale and lease of such properties on a one-off basis.
Represented a national bank in making a construction loan for the Gateway to the West Loop project in Chicago, IL and issuing a letter of credit to support tax increment allocation financing provided by the City of Chicago.
Represented a frozen yogurt franchisee as tenant counsel in negotiating retail leases and as company counsel in creating a parent entity and operator/tenant entities.
Represented a national bank in making a loan to finance the purchase of bonds issued by the Portage County, OH Port Authority, the proceeds of which were used to construct a build-to-suit manufacturing and warehouse facility.
Represented an owner in the sale of a 473-unit multifamily community in Charlotte, NC, the sale of a 300-unit multifamily community in Albuquerque, NM, the sale of a 228-unit multifamily community in Duluth, GA and the sale of a 163-unit multifamily apartment building in Memphis, TN.
Represented an owner/landlord in retail leases for an 8,600 rsf shopping center located in southern California.
Represented a shopping center owner in Illinois Department of Transportation condemnation proceedings.
Represented a national bank in making a construction loan for the AmeriPlex at the Port project in Portgage, IN anchored by a national outdoor sporting goods retailer.
