Todd W. Roeser

Todd is Senior Counsel in Miller Canfield’s Corporate Group, where he brings more than 25 years of legal, commercial, transactional, and strategic experience to clients in the automotive and global manufacturing sectors. His in-house legal experience gives him insight into how corporate legal departments assess risk, advance business goals, and work with outside counsel on complex matters.

Todd offers companies practical, business-focused counsel on complex operations, transactions, compliance issues, and risk-management needs. He advises executive teams, boards, and owners of privately held and private-equity-backed companies, building and leading legal and compliance organizations that support growth across complex, multinational operations.

Todd most recently served as General Counsel and Secretary of RESRG Automotive, an international Tier 1 automotive supplier, where he was a member of the executive leadership team and played a key role in the separation, merger, and integration of two automotive supply businesses. He also built and led the company's global legal and compliance team supporting operations in North America, Europe, the Middle East, Africa and Asia—experience that directly informs the counsel he provides to Miller Canfield clients facing similar business and legal pressures.

Todd helps clients address complex legal and compliance issues with advice that is practical, commercially informed, and aligned with the expectations of executive leadership and corporate boards.

Todd's experience spans market entry, commercial and corporate transactions, joint ventures, and reorganizations. He has helped US manufacturers establish operations in Mexico, Poland, Germany, India and China, including establishing land use rights, facilities, trading companies, and engineering offices. He has also handled joint ventures and strategic alliances involving U.S., Japanese, French, and Saudi Arabian interests and completed corporate reorganizations in the U.S., Spain, Poland, and Luxembourg. His in-house perspective is especially valuable to companies navigating multinational operations, significant transactions, evolving compliance needs, or the development of legal and risk-management functions that support long-term business objectives.
