Emily Palacios focuses her practice on litigation in state and federal court, arbitration, and appellate advocacy.
She also has significant experience in drafting and litigating commercial leases, drafting professional design service agreements, land use and zoning matters, and construction contracts. Her active matters typically include commercial disputes, loan enforcement actions, including judicial foreclosures, receiverships, and guaranty actions, real estate and leasing matters, land use, zoning, and construction matters, and the defense of consumer claims against lenders and other businesses.
Emily regularly defends consumer claims against banks and other businesses. These matters often arise from consumer financing or service agreements and residential mortgage transactions, and frequently involve the foreclousure of mortgages or the disposition of other collateral securing a repayment obligation.
Emily counsels Canadian engineering and architectural firms doing business in the U.S. or with U.S. corporations who are building in Canada. In this capacity, she reviews real estate leases and professional design service agreements.
Prior to joining Miller Canfield, Emily served as a judicial clerk for the Honorable Cornelia G. Kennedy at the United States Court of Appeals for the Sixth Circuit.
Emily helped a client successfully appeal a summary judgment order entered in federal district court. The case involved a contract that was governed by Japanese law and that pitted two business competitors against each other. Presenting the case was a challenge: not only did the brief have to explain why the case was wrongly decided, but why it was wrongly decided under Japanese law, which incorporates cultural norms that American law does not recognize.
