Tax and Finance
Our Tax & Finance Department is widely regarded as having the most dynamic and innovative tax and finance specialists in Poland. Our Tax & Finance Department provides both general and transaction-specific advice. The range of services includes advice on income tax for Polish entities and individuals, commercial lending, VAT, venture capital, equities and administrative proceedings.
Scope of Services. The lawyers in our Tax & Finance Department have extensive experience in designing the tax structure of complicated transactions, including the merger and acquisition of public companies, the acquisition of a state-owned enterprises through the privatisation process, the drafting of joint-venture agreements between foreign investors and Polish companies, the flotation of debt and equity securities, the creation of security interests in real estate, social-security matters and commercial real estate financing.
We are involved in a variety of transactions requiring expertise in the following fields:

Recently our team of experts represented a leading multi-national automobile manufacturer in structuring one of the largest public debt offerings to date in Poland by a manufacturer in the automotive sector. Our lawyers provided legal assistance in drafting the prospectus, performing due diligence, and obtaining the necessary permits from the Securities and Exchange Commission. Additionally, the lawyers in our Tax & Finance Department have extensive expertise in drafting all types of credit and loan agreements, as well as lease agreements, factoring and security agreements.
The lawyers in our Tax & Finance Department additionally have in-depth experience in advising both corporate and individual clients on structuring the most tax-efficient transactions in order to minimise their tax burden. Once we have reviewed a client's tax situation, we are able to provide precise advice on the most efficient tax structure for a given transaction. As such, our team of lawyers are expert in structuring transactions so as to minimise the amount of tax due, including CIT, PIT and VAT. Moreover, our lawyers are equally experienced in representing corporate and individual tax payers before the tax authorities, including tax administrative proceedings.
Our Tax & Finance Department, in addition to working with its own clients, also provides tax advice to the clients of our other departments within our firm, and in particular provides tax support to our Real Estate Department.
Additionally, our team of lawyers are uniquely qualified to structure any transaction in order to ensure compliance with Poland's foreign exchange law, in addition to obtaining the necessary permits issued by the Chairman of the National Bank of Poland.
