Hospitals, Health Systems + Other Health Facilities
Our Health Law attorneys have years of firsthand knowledge of the regulatory and operational issues facing hospitals, health systems and other health facilities. Miller Canfield attorneys serve as in-house, general, and special counsel to such facilities, and offer unique understanding, expertise and perspective in the myriad of challenges and opportunities they face.
Our institutional clients are health systems; religious, non-profit and for-profit hospitals, teaching hospitals and academic medical centers; nursing homes; home health and hospice agencies; ambulatory surgery centers; durable medical equipment companies; and ambulance and transport companies. We counsel and represent these clients in licensing and accreditation, ethics and corporate governance, business venture structuring, contracts and negotiations, corporate and regulatory compliance, fraud and abuse, certificate of need, medical education, medical staff credentialing and peer review, health information privacy and security, reimbursement and appeals.
More specifically, we represent health facilities and agencies in mergers and acquisitions, privatization, and corporate reorganization and work closely with them on governance and executive oversight issues, developing corporate compliance plans and policies, and represent them in internal and government investigations. We assist clients in developing staff bylaws and in performing and defending credentialing and peer review activities. Our broad experience in helping clients in developing and negotiating clinical trial agreements is extensive, and we regularly provide legal and regulatory advice on all aspects of research and clinical trials, including human research protections, OHRP and FDA regulation, AAHRPP accreditation, conflicts of interest, and research misconduct.
Additional representative matters in which our attorneys have been involved include the following:
- Preparing and negotiating affiliation agreements between health systems, large metropolitan area hospitals, and community hospitals
- Representing hospital-based long-term care facilities in sale and purchase transactions
- Formation and representation of physician-hospital organizations, hospital-based ambulatory surgery centers, and independent practice associations at multiple hospitals.
In addition to providing legal analysis and advice, our attorneys provide valuable input to hospitals and other health facilities through service on boards of directors, institutional review boards, credentialing committees, sentinel event review committees, and other standing and ad hoc committees.
