Larry Woodard is a rarity for commercial real estate attorneys, as he is experienced and proficient in the courtroom as well as at the closing table. Larry has represented Fortune 500 companies, developers, regional and national banks, institutional investors, special servicers, units of local government, REITs, contractors, landlords, tenants, condominium associations, receivers and real estate brokers in the development, management, financing, leasing, zoning, acquisition and disposal of their real estate interests. He has handled many complex transactions involving multiple parties, properties and lenders, while encompassing many states—and has negotiated deals of all sizes and structures. His practice also extends into corporate transactions and asset protection, as well as loan workouts and mortgage foreclosure, construction and mechanics lien litigation.

Larry has represented Fortune 500 companies, developers, regional and national banks, institutional investors, special servicers, higher education institutions, units of local government, REITs, contractors, landlords, tenants, condominium associations, receivers and real estate brokers in the development, management, financing, leasing, zoning, acquisition and disposal of their real estate interests. He has handled many complex transactions involving multiple parties, properties and lenders, while encompassing many states—and has negotiated deals of all sizes and structures. His practice also extends into construction law, corporate transactions and asset protection, as well as loan workouts, mortgage foreclosures, construction and mechanics lien litigation.

Assisted a foreign auto parts manufacturer in the purchase of a former General Motors light duty truck plant in Moraine City, Ohio, a $200 million project that brought more than 800 jobs to the area.
Negotiated, supervised and executed re-subdivision of complex inChicagosuburb involving rezoning, re-subdivision, establishment of five special service taxing areas, establishment of four condominium associations and a common interest community association, development agreements with governmental entities, municipal general obligation bonds, and dissolution and sale of a hotel on property.
Represented Fortune 500 top 50 corporation in restructuring of its entireMidwestreal estate portfolio, including preparing vertical subdivisions, reciprocal easement agreements, joint venture agreements and sales of interests in the portfolio.
Represented owner in negotiation of all construction contracts in its construction of a multi-phased 1,300,000 square foot corporate campus.
Represented national bank in connection with the leasing of itsMidwestretail locations.
Represented buyer of a partially built 80 unit building in Chicago’s west side in resolution of title issues, including mechanics liens, recorded purchase contracts and failed agreements for deed. Structured the sale jointly through a sale by receiver and through a consent foreclosure to obtain clear title to the project.
Represented lender in resolution of multiple title and legal issues involving nineteen separate parcels located throughoutChicagoso that client could be refinanced.
Lead counsel in staggered condominium conversion and sale of 340 unit high-rise building in Chicago’s South Shore neighborhood in representing one of Chicago’s largest condominium converters.
Prepared all offering, organizational, contract, condominium and conveyance documents for developer of over fifty mixed-use projects with over fifty separate groups of investors. Addressed leasing, financing and management issues of grocery-anchored shopping centers and industrial portfolio; and, assisted in loan workout and asset sale for distressed developments.
Obtained dismissal of lawsuit with prejudice against real estate developer and its principals.
Obtained multi-million dollar judgment on behalf of contractor in its enforcement and foreclosure of its construction contact and mechanics lien.
Represented purchaser of sale-leaseback transactions for multiple big box retail tenants.
Prepared declaration, operating easement agreement and reciprocal easement agreements in five-use mixed use vertical subdivision.
Prepared property reports, form contracts and offering documents for resort development in Dominican Republic.
Represented units of local government in the regulation and disposition of village-owned multi-use planned unit development. Lead counsel in negotiation of all construction contract on behalf of villages inChicago’s northern suburbs.
Counseled client in compliance matters and prepared form documents for use in national campaign of equity-based real estate lending program.
Successfully defended developer of distressed condominium development against its lenders, contractors and unit owners.
Represented national bank in successful and prompt foreclosure or loan restructuring of distressed real estate portfolio.
Represented buyers and sellers of real estate conveying through beneficial interests in land trusts, ground leasehold interests, membership interests in limited liability companies, partnership interests in limited partnerships, note purchases, sale-leasebacks, tenancy in common interests, assumption of debt, staggered sales of portfolio through master agreement, articles of agreement for deed, air rights purchases and sales, light and sight line easements, riparian water rights, adverse possession, exterior signage and billboard parcels, cell towers, etc.
