Kelly Martorano specializes in identifying, managing, and negotiating environmental issues and risks associated with domestic and international mergers and acquisitions and real property transactions. She advises corporate, commercial real estate, and municipal clients regarding Phase I and II environmental assessments, hazardous materials surveys, due care, clean-up and remediation, Michigan’s Baseline Environmental Assessment procedures, permitting, and compliance. In addition, Kelly has represented electric and gas utilities before the Michigan Public Service Commission in regulatory rate proceedings.

Experience
Kelly has experience with both the technical and legal aspects of environmental and energy law. As an environmental professional for large and mid-size corporations and an environmental consulting firm prior to joining Miller Canfield, she brings a breadth of experience regarding the day-to-day issues related to environmental management, permitting, and compliance.
Kelly has assisted clients with a multitude of matters including: obtaining environmental permits, complying with various local, state, and federal environmental laws and regulations, internal, third-party, and government agency audits and enforcement matters, transferring permits, and closing a facility in accordance with environmental laws and regulations.
In addition, Kelly’s experience has involved various aspects of local, state, and federal environmental laws such as the Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA), the Resource Conservation and Recovery Act (RCRA), the Clean Water Act, and their state counterparts.
She also assists clients with related contractual matters, including drafting access and license agreements, restrictive covenants, and confidentiality agreements. Kelly also drafts and files pleadings and exhibits and represents clients in hearings before the Michigan Public Service Commission.
Representative Matters
- Automotive Supplier Acquisition
Managed the environmental due diligence review and drafted environmental provisions for an international corporation purchasing nine facilities throughout the United States and South America.
- Real Estate Development Company Property Acquisition
Coordinated environmental due diligence efforts including the strategic coordination and review of Phase I and Phase II environmental site assessment and baseline environmental assessments related to the acquisition of property where the client had purchased 30 separate parcels.
