Carla S. Machnik specializes in cross-border representation of financial institutions in Canada and the United States. In this role, she develops loan structures that protect her clients’ interests in both countries. This is a cost-effective and efficient process since one attorney and one firm can complete the work that normally requires retaining counsel in both countries. Carla also gives advice to financial institutions seeking to expand their markets across the border by providing them with counsel as to the similarities and differences between the laws, the markets and the cultures.

Carla's practice also includes aircraft financing, buying, selling and 1031 exchanges, advising clients on aircraft matters falling under the purview of the Federal Aviation Administration regulations and the Cape Town Convention and registering security interest under the FAA Aircraft Registry and the International Registry.  Her primary role is to provide advice to structure transactions in a cost-effective matter. Since the implementation of the Cape Town Treaty in the United States  (March 1, 2006), Carla has completed over 30 aircraft financing transactions (both fleet and single corporate jet financing) for financial institutions  in California, Texas, Michigan and Ontario, involving over $100 million. Carla has developed relationships with title insurance providers and title companies to provide her clients with a team approach, saving time and money for all parties.

Experience

An international company required immediate financing to jump on an opportunity to further develop its operations in a transaction involving companies located in multiple continents and secured by unique assets. Carla quickly structured the transaction and drafted and negotiated the documents enabling the financing to proceed in time for the company to act upon its important opportunity.
