Experience
Secured Transactions
Stephanie represents lenders and borrowers in a variety of financing transactions, including asset-based lending, acquisition financings, corporate financing, and syndicated financings. She also acts as local counsel when loan parties are organized or have assets located in Ontario, Canada. Stephanie is often called upon by her colleagues practicing bankruptcy and insolvency law to conduct a review of existing security in enforcement proceedings.
Mergers and Acquisitions
Stephanie assists businesspeople and professionals buying and selling assets, businesses, and professional practices. This area encompasses employment law issues, business licences, due diligence, and general commercial law.
Franchising
Stephanie represents both franchisors and franchisees by preparing franchise, licensing, and distribution agreements, disclosure documents, and other documents, and by advising on franchise-related matters. She also represents American franchisors who are considering bringing their franchise business to Canada by assisting them in tailoring their FDDs to comply with Ontario law.
