Gurinder is a corporate transactional attorney specializing in domestic and cross-border mergers and acquisitions (M&A) transactions.
In addition to drafting and negotiating M&A transactions, Gurinder has experience advising clients on other general corporate matters, including drafting and negotiating joint ventures and strategic alliances, licensing or distribution arrangements and other business contracts. She has dedicated a portion of her practice to helping emerging companies by acting as their outside general counsel.
As part of her cross-border practice, Gurinder advises parties with the entire CFIUS notification filing process, including whether parties should make a filing, providing an assessment of the risks involved, and negotiating with CFIUS.
Gurinder's experience encompasses a wide range of industries including automotive, technology, aerospace and defense, manufacturing, retail, food and beverage, media and entertainment, and infrastructure sectors. She also has experience helping clients with public/private partnerships including negotiating concession agreements.
Gurinder also advises on compliance matters related to U.S. regulations that affect companies doing business internationally, including Export and Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). She also advises on compliance with the Foreign Corrupt Practices Act (FCPA) and has helped companies interpret anti-boycott regulations as well as the sanction programs administered by the Office of Foreign Assets Control (OFAC), including the Iran and Syria Sanctions.
